Terms of Service

1. Agreement to these terms

These Terms of Service govern your access to and use of DocuNext, including the dashboard, document generation features, APIs, and related services. By creating an account, using the service, or accessing the API, you agree to these terms on behalf of yourself or the organisation you represent.

If you use DocuNext for a company or other legal entity, you confirm that you have authority to bind that entity to these terms.

2. The service

DocuNext lets users upload DOCX templates, detect placeholders, provide generation data, and produce downloadable PDF or DOCX outputs. The service is a document automation tool. It does not provide legal, tax, financial, compliance, or professional advice.

You are responsible for reviewing every template and generated document before using, signing, sending, filing, or relying on it.

3. Accounts and workspace access

• You must provide accurate account information and keep it current.
• You are responsible for activity under your account, workspace, and API keys.
• You must keep passwords, sessions, and API keys confidential and notify us promptly if you suspect unauthorised access.
• Workspace owners and administrators are responsible for inviting, removing, and managing users in their workspace.

4. Templates, documents, and customer content

You retain ownership of templates, uploaded files, field values, generated documents, and other content you submit to DocuNext. You grant DocuNext a limited licence to host, process, convert, store, transmit, and display that content only as needed to provide, secure, maintain, and improve the service.

You represent that you have the rights and permissions required to upload and process your content through DocuNext. You must not upload content that infringes intellectual property rights, violates law, contains malware, or includes data you are not authorised to process.

5. API use and security

• API keys must be stored securely and must not be embedded in public clients, public repositories, or distributed software.
• You must not attempt to bypass authentication, rate limits, file-size limits, usage limits, or security controls.
• You must not use automated requests in a way that degrades, disrupts, scans, reverse engineers, or overloads the service.
• We may suspend or revoke API access to protect the service, customers, or third parties.

6. Acceptable use

You may not use DocuNext to create, store, distribute, or facilitate unlawful, deceptive, harmful, abusive, or infringing materials. You may not use the service to process malware, credentials, payment card data, regulated health information, or highly sensitive personal data unless we have agreed in writing to support that use case.

7. Plans, billing, and limits

Some features may be offered under paid plans, usage quotas, workspace limits, or API throughput limits. Plan details, prices, and included usage are shown in the product or in an order form when applicable. You are responsible for taxes, fees, and charges associated with your use of paid features.

We may change plans, pricing, and limits prospectively. If a change materially affects an active paid plan, we will provide reasonable notice where required by law or contract.

8. Availability and changes

We aim to provide a reliable service, but DocuNext may be unavailable from time to time because of maintenance, updates, outages, security work, third-party failures, or events outside our control. We may modify, suspend, or discontinue parts of the service where necessary to operate, secure, or improve it.

9. Confidentiality and data protection

Each party may receive non-public information from the other. The receiving party must use reasonable care to protect that information and use it only for the purpose of providing or using the service. Our handling of personal information is described in the Privacy Policy.

10. Intellectual property

DocuNext, including its software, product design, documentation, names, logos, and other service materials, is owned by DocuNext or its licensors. Except for the limited right to use the service under these terms, no rights are transferred to you.

Feedback or suggestions you provide may be used by us without restriction or obligation, provided we do not identify you as the source without permission.

11. Disclaimers

The service is provided on an as-is and as-available basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free output.

Document automation can fail because of template structure, unsupported formatting, invalid input, conversion errors, third-party services, or user configuration. You are responsible for validating outputs for your intended use.

12. Limitation of liability

To the maximum extent permitted by law, DocuNext will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, business interruption, or replacement services.

To the maximum extent permitted by law, our total liability for all claims relating to the service will not exceed the amount you paid to DocuNext for the service in the three months before the event giving rise to the claim, or USD 100 if you have not paid us.

13. Suspension and termination

You may stop using DocuNext at any time. We may suspend or terminate access if you breach these terms, create security or legal risk, fail to pay amounts due, or use the service in a way that could harm DocuNext, customers, or third parties.

After termination, your right to use the service ends. We may retain or delete content according to our retention practices, legal obligations, backup procedures, and the Privacy Policy.

14. Changes to these terms

We may update these terms from time to time. When changes are material, we will take reasonable steps to notify users, such as posting an updated effective date or providing in-product notice. Continued use of DocuNext after changes become effective means you accept the updated terms.
